Welcome to Coordinex! These Terms of Service ("Terms") govern your use of our platform. By using Coordinex, you agree to these Terms. Please read them carefully.

1. Accepting These Terms

By creating an account, accessing, or using Coordinex, you agree to be bound by these Terms and our Privacy Policy. If you don't agree, please don't use Coordinex.

If you're using Coordinex on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Your Account

Account Creation

• You must be at least 16 years old to use Coordinex
• You must provide accurate and complete information
• You're responsible for keeping your account secure
• You may not share your account credentials
• You're responsible for all activity under your account

Account Termination

You can cancel your account at any time from your account settings. We may suspend or terminate your account if you violate these Terms or for other legitimate reasons (with notice when possible).

3. Acceptable Use

You agree NOT to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Harass, abuse, or harm others
• Spam or send unsolicited messages
• Upload malware or malicious code
• Attempt to hack or breach security
• Scrape data or use bots without permission
• Impersonate others or misrepresent your identity
• Interfere with others' use of Coordinex

You agree TO:

• Use Coordinex for its intended purpose
• Respect other users' privacy
• Keep your content appropriate and legal
• Comply with labor laws when managing your team
• Report security vulnerabilities responsibly

4. Your Content

Ownership

You retain ownership of all content you upload to Coordinex (schedules, messages, documents, etc.). We don't claim ownership of your content.

License to Us

You grant us a limited license to store, process, and display your content solely to provide the Coordinex service. This license ends when you delete your content or account.

Responsibility

You're responsible for your content. Make sure you have the right to upload it and that it doesn't violate any laws or these Terms.

5. Subscriptions and Payments

Billing

• Paid plans are billed monthly or annually in advance
• Prices are in USD and subject to change with 30 days' notice
• You authorize us to charge your payment method automatically
• No refunds for partial months, but you can cancel anytime

Free Trial

Free trials require a payment method but won't be charged until the trial ends. Cancel before the trial ends to avoid charges.

Cancellation

Cancel anytime from your account settings. Your subscription continues until the end of the billing period, then stops automatically.

6. Intellectual Property

Coordinex and its original content, features, and functionality are owned by us and protected by copyright, trademark, and other laws. You may not copy, modify, distribute, or reverse engineer Coordinex without permission.

Our trademarks, logos, and brand elements may not be used without our written consent.

7. Third-Party Services

Coordinex may integrate with third-party services (e.g., payment processors, calendar apps). Your use of those services is governed by their own terms. We're not responsible for third-party services.

8. Disclaimers and Limitations

No Warranties

COORDINEX IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DON'T GUARANTEE UNINTERRUPTED, ERROR-FREE, OR SECURE SERVICE.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COORDINEX SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, or consequential damages
• Loss of profits, revenue, data, or goodwill
• Service interruptions or errors
• Your reliance on Coordinex for critical operations

Our total liability for any claims shall not exceed the amount you paid us in the 12 months before the claim, or $100, whichever is greater.

Your Responsibility

You're responsible for:

• Backing up your data
• Complying with labor laws and regulations
• Accurate payroll and tax calculations
• Verifying the accuracy of time tracking data

9. Indemnification

You agree to indemnify and hold Coordinex harmless from any claims, damages, or expenses arising from:

• Your violation of these Terms
• Your violation of any law or third-party rights
• Your content or use of Coordinex

10. Dispute Resolution

Informal Resolution

If you have a problem, please contact us first at support@coordinex.app. We'll try to resolve it informally before escalating.

Binding Arbitration

If we can't resolve a dispute informally, you agree to binding arbitration rather than court proceedings. Arbitration will be conducted by the American Arbitration Association under its rules.

Exceptions

Either party may seek injunctive relief in court for intellectual property violations or confidentiality breaches.

11. Governing Law

These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles. Any disputes will be resolved in courts located in San Francisco County, California.

12. Changes to These Terms

We may update these Terms from time to time. We'll notify you of material changes via email or in-app notification at least 30 days before they take effect. Continued use after changes means you accept the new Terms.

13. Miscellaneous

• Entire Agreement: These Terms constitute the entire agreement between you and Coordinex
• Severability: If any provision is found invalid, the rest remains in effect
• No Waiver: Our failure to enforce a provision doesn't waive our right to do so later
• Assignment: You may not assign these Terms; we may assign them to an acquirer
• Survival: Provisions that should survive termination (e.g., liability limitations) do so
