Terms of Service

These terms govern your use of the Coordinex iOS application and the coordinex.app website (together, the “Service”). By using the Service you agree to them. If you do not agree, do not use the Service.

1. Who we are

Coordinex is operated by Omar Nembhard, a sole proprietor based in the United States. References to “we,” “us,” or “Coordinex” mean the same thing.

2. Your account

You need an account to use Coordinex. You are responsible for maintaining the confidentiality of your sign-in credentials and for all activity that occurs under your account. You agree to provide accurate information when signing up and to keep that information up to date.

You must be at least 16 years old to use Coordinex. If you sign up on behalf of an organization, you represent that you have authority to bind that organization to these terms.

3. Acceptable use

You agree not to:

  • Use Coordinex for any unlawful purpose or in violation of any applicable law.
  • Reverse engineer, decompile, or attempt to extract the source code of the Service except where law permits.
  • Probe, scan, or test the vulnerability of the Service without our written permission, or breach our security or authentication measures.
  • Attempt to gain unauthorized access to other users' accounts or data.
  • Use the Service to transmit malware, phishing material, or unsolicited bulk messages.
  • Resell or sublicense access to the Service without a written agreement with us.
  • Use the Service to harass, defame, or threaten other people.

4. Subscriptions and billing

Coordinex offers a free tier and paid subscription tiers (Starter, Professional, Business). Paid tiers are sold through Apple's App Store under Apple's StoreKit and billed to your Apple ID.

  • Auto-renewal: subscriptions renew automatically unless cancelled at least 24 hours before the end of the current billing period.
  • Cancellation: manage and cancel anytime in iOS Settings → your name → Subscriptions → Coordinex.
  • Refunds: handled by Apple per their standard refund policy at support.apple.com/billing. We cannot issue App Store refunds directly.
  • Plan changes: upgrades and downgrades take effect immediately and Apple prorates the difference.
  • Scale tier: for organizations of 100+ employees, billed by invoice under a separate contract that supersedes these terms where it conflicts.

5. Your content

You retain all rights to the data you and your team put into Coordinex (schedules, time entries, messages, photos, files — collectively “Your Content”). By using the Service, you grant us a limited, non-exclusive, worldwide license to host, store, process, and transmit Your Content solely to provide and improve the Service.

We do not claim ownership of Your Content. We do not use Your Content to train machine learning models. We do not sell Your Content. See our Privacy Policy for full detail.

6. Our content

The Coordinex software, website, design, name, logo, and brand are owned by Omar Nembhard and protected by copyright and trademark law. You may use the Service as the terms allow but you do not acquire any ownership interest in it.

7. Service availability

We aim for high availability but do not guarantee the Service will be uninterrupted, error-free, or secure. We may modify, suspend, or discontinue features at any time, with reasonable notice for material changes.

For Scale-tier customers, availability commitments are governed by your contract.

8. Termination

You may stop using the Service at any time. To delete your account, email [email protected] or use the in-app account deletion option.

We may suspend or terminate your access if you breach these terms, if required by law, or if continuing to provide the Service to you would expose us to legal liability. We will give you advance notice except in emergencies.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Coordinex is a tool to help you run your team. It is not a substitute for legal, tax, payroll, or HR advice. You are responsible for determining whether your use of the Service complies with applicable wage, hour, scheduling, and employment laws in your jurisdiction.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COORDINEX'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $100.

WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR BUSINESS OPPORTUNITIES.

11. Indemnification

You agree to defend, indemnify, and hold us harmless from any claims, damages, or costs arising out of (a) your use of the Service in violation of these terms or applicable law, (b) Your Content, or (c) your violation of any third-party right.

12. Governing law and disputes

These terms are governed by the laws of the State of New York, USA, without regard to conflict-of-law principles. Any dispute arising out of or relating to these terms or the Service will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction in those courts.

Nothing in this section limits your right to bring a claim in small-claims court if you qualify, or to seek injunctive relief in any court of competent jurisdiction.

13. Changes to these terms

We may update these terms as the Service evolves. Material changes will be announced in-app and by email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.

14. Apple-specific terms

You acknowledge that these terms are between you and Coordinex, not between you and Apple. Apple is not responsible for the Service or its content. Apple is a third-party beneficiary of these terms and may enforce them against you. Coordinex is solely responsible for product warranties, claims, support, and product liability for the iOS app.
